1. Acceptance of terms

By accessing or using Binee ("the Service"), operated by Tecknocity ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. We reserve the right to modify these terms at any time, and your continued use constitutes acceptance of any changes.

2. Description of service

Binee is an AI business assistant platform. It connects to third-party work tools you authorize (such as project management, email, calendar, document, and team chat services), answers questions across them, performs actions you request and approve, and provides proactive monitoring and insights. The Service also includes ClickUp Setup, a standalone tool that builds and audits ClickUp workspaces. Features and availability may change without prior notice.

3. Account registration

To use certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these terms.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malware, spam, or harmful content
• Resell, sublicense, or redistribute the Service without authorization
• Scrape, data mine, or use automated tools to extract data from the Service

5. Intellectual property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, software, AI models, templates, and dashboards, are the exclusive property of Tecknocity and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data you submit through the Service. By using the Service, you grant us a limited license to process your data solely to provide and improve the Service.

6. Third-party integrations

The Service may integrate with third-party work platforms you authorize, such as your project management, email, calendar, document, and team chat tools. The current list of available integrations is shown on our integrations page. Each integration is connected per user through that user's own authorization. Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

7. Subscription and payments

Certain features require a paid subscription. By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Authorize recurring charges for subscription renewals
• Provide valid and current payment information

The Service is metered in credits: subscriptions, pay-as-you-go purchases, and one-time purchases (such as ClickUp Setup) include credits that are consumed when the Service performs work. Subscription credit allowances reset each billing period; pay-as-you-go and one-time purchase credits remain in your account until used. One-time purchases are non-recurring.

Subscriptions renew automatically unless cancelled before the renewal date. Refunds are handled in accordance with our refund policy. We reserve the right to change pricing with reasonable notice.

8. Service availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from service interruptions.

9. Limitation of liability

To the maximum extent permitted by law, Tecknocity shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claims arising under these terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that it will be error-free.

11. Indemnification

You agree to indemnify and hold harmless Tecknocity, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall remain in effect.

13. Governing law

These terms are governed by and construed in accordance with applicable laws. Any disputes arising from these terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
